Arzinger has successfully defended the interests of the foreign bank in terms of assets and capitalization, in legal proceedings challenging the squeeze-out procedure carried out in 2018 in a Ukrainian bank as a branch of the foreign bank.
The foreign bank, having a dominant block of shares in the Ukrainian bank, carried out a forced buyout of the shares of minority shareholders through the squeeze-out. The minority shareholders, who did not agree with the forced buyout, sued it in court.
Due to the developed and effectively implemented defence legal strategy, the court upheld the arguments of Arzinger's attorneys. The attorneys proved the legality of the squeeze-out procedure, the legitimate purpose and compliance of the bank's motives with the public interest in implementing the procedure, as well as the payment to minority shareholders of the fair value for their shares.
